01Introduction and acceptance
These Terms of Service ("Terms") apply to the Synclo ERP platform, our website, modules, APIs, AI features and related services. By using Synclo you agree to these Terms. If you accept them on behalf of a company, that company is bound by them. These Terms form a legally binding agreement between the Client and Synclo.

03The Synclo platform
Synclo is a modular ERP. The features available depend on the modules, plan and configuration the Client chooses, and they may improve or change over time. The Client is responsible for deciding whether Synclo meets its business and legal needs.
04Accounts and administration
The Client must give accurate, complete and current information when registering. Administrators manage the workspace and the Client is responsible for all activity in its account. The Client must tell us promptly about any suspected unauthorised access.
05Authorised users and access
The Client decides who can access its workspace and what role each person has. When users leave or change roles, the Client must update or remove their access. Synclo is not responsible for harm caused by the Client's failure to manage access.
06Acceptable use
Synclo may be used only for lawful internal business purposes. The Client and its users must not:
- upload malware or attempt unauthorised access
- bypass or test our security without permission
- scrape, copy or reverse engineer the platform
- send spam or publish fake or misleading job postings
We may suspend or restrict access if we reasonably suspect misuse. The Client must make sure its communications sent through Synclo follow applicable consent and anti-spam laws.
07Client data and ownership
The Client owns its Client Data and Synclo claims no ownership of it. We use Client Data only as needed to provide, secure, support and improve the Services. The Client is responsible for the accuracy and legality of its data and for having the rights and consents needed to use it in Synclo.
08Privacy, security and data processing
Our handling of data is governed by our Privacy Policy, Cookie Policy, Security Overview, these Terms and applicable law. Synclo generally acts as a processor or service provider and the Client as the owner or controller of Client Data. A data processing agreement or other written agreement may also apply.
09AI features and Alci
AI outputs are there to assist and may be incomplete or inaccurate. The Client must review and check them before relying on them. AI Features do not provide legal, financial, tax, employment, medical or regulatory advice, and they should not make final hiring, employment, payroll, disciplinary, financial, legal or compliance decisions without human oversight. Synclo does not use Client Data to train public AI models.
10Third-party services and integrations
Services the Client connects to Synclo are governed by their own terms and practices. Synclo is not responsible for their performance, downtime, security or data handling. The Client must have the necessary rights and consents before enabling an integration.
11Recruitment and candidate management
When using Synclo for hiring, the Client must make sure job postings, screening, interviews, offers and candidate communications comply with employment, anti-discrimination and privacy laws. Job postings must be accurate and lawful, and candidates must be told how their data is used, including any AI-assisted screening.
12Subscription, billing and payment
Fees are payable in advance and are non-refundable unless the law requires otherwise or we agree in writing. The Client pays all applicable fees, taxes and payment charges. If a payment is late or fails, we may restrict or end access after giving reasonable notice where practical. Subscriptions renew automatically unless cancelled before the renewal date.
13Free trials, demos and beta features
Trials, demos, sandboxes and beta features may be limited, changed or withdrawn at any time. We may delete trial or sandbox environments when the evaluation period ends, so the Client should export anything it wants to keep before then.
14Availability, maintenance and support
Unless a separate service level agreement applies, we do not guarantee that Synclo will be uninterrupted. We give advance notice of planned maintenance where practical, and emergency maintenance may happen without notice. The scope of support and response times depend on the Client's plan.
15Data export, retention and deletion
The Client may export supported data, subject to its permissions and plan status. After termination we keep Client Data for 14 days, unless we agree otherwise in writing, after which it may be deleted, de-identified or made inaccessible, subject to backups and legal requirements. The Client is responsible for exporting its data in time. Synclo keeps ownership of the platform, models and AI functionality.
16Intellectual property
Synclo and its licensors own the platform, software, brand, documentation and AI Features. The Client receives a limited right to use the Services during its subscription. The Client may not copy, resell, reverse engineer or create derivative works from Synclo, except where the law or a written agreement allows it. The Client keeps ownership of its Client Data.
17Feedback
If the Client or its users share ideas or suggestions, Synclo may use them freely without any obligation or payment.
18Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only for the purposes of this agreement. This does not apply to information that is public, already known, or independently developed. These obligations continue after termination for as long as the information stays confidential.
19Client compliance
The Client is responsible for its own legal, tax, employment, privacy and industry compliance. Synclo does not guarantee that using the platform makes the Client compliant, and the Client should take independent professional advice where needed.
20Disclaimers
Unless a separate written agreement says otherwise, the Services are provided "as is" and "as available". We do not guarantee that Synclo will be error-free, completely secure or uninterrupted. The Client should check reports, analytics and AI outputs before relying on them.
21Limitation of liability
Synclo is not liable for indirect, incidental, special or consequential losses, including lost profits, lost data or harm to reputation. Our total liability for any claim is limited to the fees the Client paid for the relevant Services in the twelve months before the event that gave rise to the claim. Some jurisdictions do not allow certain limitations, so these may not apply everywhere.
22Indemnification
The Client will defend and indemnify Synclo, its affiliates and representatives against claims arising from the Client's use of Synclo, its Client Data, its breach of these Terms, unauthorised access caused by the Client, third-party claims, and its integrations or use of AI outputs. We will give reasonable notice of any claim where legally and practically possible.
23Suspension and termination
The Client may cancel as set out in its Order Form or agreement. Synclo may suspend or end access for overdue payment, breach of these Terms, security or legal risk, legal requirements, or long periods of inactivity. We give notice where practical, but may suspend immediately where there is an urgent risk.
24Effect of termination
When the agreement ends, access ends unless we agree otherwise, and the Client must pay any fees incurred before termination. The 14-day export window applies unless otherwise agreed. Terms that by their nature should continue, including payment, confidentiality, intellectual property, data responsibilities, disclaimers, liability, indemnification and governing law, survive termination.
25Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. The parties will first try to resolve any dispute through good-faith discussion. If that fails, the dispute may go to mediation, arbitration or court as the applicable agreement specifies, and the courts of California have exclusive jurisdiction unless the parties agree otherwise in writing.
26Changes to these Terms
We may update these Terms. When we do, we will change the effective date and may tell clients about material changes by email, in the app or on our website. Continuing to use Synclo after the updated Terms take effect means you accept them.
